By downloading, accessing or using the mobile application and services of Trn.AI ("Trn.AI", "we", "us", or "our"), you ("you", "your", or "User") agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, you may not access or use the application or services.
1. Contractual Relationship
These Terms govern your access to and use of the mobile application and related services made available by Trn.AI (collectively, the "Services"). Your access or use constitutes your agreement to be bound by these Terms. Trn.AI may immediately terminate your access or use of the Services (or any portion thereof) at any time, for any reason.
Supplemental terms (for example for specific promotions, features or integrations) may apply and are in addition to these Terms.
2. The Services
The Services comprise a technology platform that enables users to access personalised training sessions, an AI-based coaching assistant (which can answer your training questions), and related features via the Trn.AI mobile application available on the App Store. The Services are provided solely for your personal, non-commercial use.
You acknowledge that Trn.AI does not provide medical advice, professional physical training or personalised health/fundamental consultation and that you use the Services entirely at your own risk.
3. License
Subject to your compliance with these Terms, Trn.AI grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to:
- (i) download and install the Trn.AI application on your personal device for your personal, non-commercial use; and
- (ii) access and use those parts of the Services made available to you.
All rights not expressly granted to you are reserved by Trn.AI and its licensors.
4. Restrictions
You agree that you will not:
- • remove or obscure any copyright, trademark or other proprietary notices in the Services;
- • reproduce, modify, create derivative works of, distribute, license, lease, sell, resell, transfer, publicly display or otherwise exploit the Services, except as expressly permitted;
- • reverse engineer, decompile or disassemble the Services except as permitted by law;
- • link to, mirror or frame any portion of the Services;
- • scrape, index, survey or otherwise data-mine any portion of the Services;
- • attempt to gain unauthorized access to or impair any aspect of the Services or its systems or networks;
- • use the Services in any manner that violates applicable law.
5. Provision of the Services
You acknowledge that Trn.AI may make the Services (or features thereof) available under different brands or via affiliates. Trn.AI may change, suspend or discontinue any aspect of the Services at any time.
6. Third-Party Services and Content
The Services may incorporate or allow access to third-party services or content (including advertising) that we do not control. Trn.AI does not endorse such third-party services/content and is not responsible for them.
If you access the Services via the App Store (Apple Inc.), you agree that Apple is a third-party beneficiary of these Terms and that Apple is not responsible for providing or supporting the Services.
7. Ownership
The Services and all rights therein (including intellectual property rights) remain the property of Trn.AI or its licensors. These Terms do not grant you any ownership rights in the Services.
8. Payments, Subscriptions and Refunds
If you choose to purchase a subscription or make a one-time payment via the Services ("Transaction"), you agree to pay all fees as disclosed at the time of purchase. Payment will be processed through the App Store. Unless otherwise stated, payments are non-refundable and non-transferable. (You may cancel your subscription but you will continue to have access until the end of the current paid period.)
9. Your Use of the Service
i. User Requirements & Conduct
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You may only use the Services for lawful purposes. You agree not to misuse the Services, create nuisance or damage property, or interfere with other users.
ii. User Content
If you submit any comments, questions, or feedback through the Services ("User Content"), you remain the owner of your content. However, by providing User Content you grant Trn.AI a worldwide, perpetual, irrevocable, transferable, royalty-free licence to use, copy, modify, distribute and otherwise exploit the User Content in connection with the Services. You represent and warrant that you own or have rights to submit the User Content and it does not violate any third-party rights or applicable law.
iii. Network Access & Devices
You are responsible for your device, internet access, data charges and maintaining compatibility. Trn.AI does not guarantee the Services will work on any specific device or without interruption.
10. Disclaimers; Limitation of Liability; Indemnity
i. Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". Trn.AI MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SERVICES' ACCURACY, RELIABILITY, COMPLETENESS, OR SUITABILITY.
You are responsible for your own use of the Services. The AI-coach and training sessions do not constitute medical, health or training advice.
ii. Limitation of Liability
To the maximum extent permitted by law, Trn.AI shall not be liable for any indirect, incidental, special, punitive or consequential damages (including lost profits or data) arising from your use of or inability to use the Services.
iii. Indemnity
You agree to indemnify, defend and hold harmless Trn.AI and its affiliates, officers, directors, employees and agents from all claims, liabilities, losses and expenses arising out of your use of the Services or your breach of these Terms.
11. Dispute Resolution
Any dispute, claim or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration (or other agreed forum) rather than courts, except you may still choose small claims court. The arbitration will follow the rules of the relevant arbitration body and will be conducted in the appropriate venue, unless agreed otherwise.
Your rights under consumer protection laws may vary by jurisdiction and nothing in these Terms is intended to waive rights you cannot legally waive.
12. Governing Law
These Terms shall be governed by and construed under the laws of the United States, without regard to conflict of law principles.
13. Changes
Trn.AI may update or revise these Terms at its sole discretion. We will post the amended Terms on our website or within the application and indicate the "Last updated" date. Your continued use of the Services after the changes constitutes acceptance of the updated Terms.
14. Consumer Notice
If you are a resident of certain jurisdictions, you may have additional rights under applicable consumer protection laws. You may have the right to obtain pricing information or file complaints with certain consumer protection agencies.
